ARTICLE 1 — PREAMBLE, DEFINITIONS & ACCEPTANCE

1.1 Overview

This website is owned and operated by THE REAL TRUE TRADE INC.

These Terms and Conditions (“Agreement”, “Terms”) constitute a legally binding agreement between you (“User”, “you”, “your”) and THETRUETRADE (“THETRUETRADE”, “Platform”, “we”, “us”, or “our”) governing your access to and use of all products, services, interfaces, applications, APIs, trading systems, smart contracts, software, and related infrastructure made available through www.THETRUETRADE.io, affiliated domains, and related applications (collectively, the “Platform”).

The Platform provides both custodial account-based trading infrastructure (CEX mode) and non-custodial wallet-based trading infrastructure (DEX/Web3 mode) for perpetual futures contract trading and related digital asset services across supported blockchain networks.

Access to the Platform may be restricted, suspended, or unavailable from time to time due to maintenance, technical issues, regulatory requirements, liquidity conditions, market volatility, security concerns, or other operational circumstances.

All services offered through THETRUETRADE are governed by the legal terms and conditions of THE REAL TRUE TRADE INC. and its affiliates. The entities operate independently and retain exclusive rights to their respective brands.

1.2 Acceptance of Terms

IMPORTANT: BY ACCESSING, CONNECTING A WALLET, CREATING AN ACCOUNT, DEPOSITING FUNDS, OR OTHERWISE USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY:

  • These Terms and Conditions;
  • The Privacy Policy;
  • Risk Disclosure Statements;
  • Platform Rules and Trading Policies.
  • Any additional policies or notices published by THETRUETRADE.

If you do not agree to these Terms, you must immediately discontinue use of the Platform.

Your continued use of the Platform after any amendment or modification constitutes acceptance of the revised Terms.

1.3 Definitions

For purposes of this Agreement:

  • “Digital Assets” means cryptocurrencies, tokens, stablecoins, and blockchain-based assets supported by the Platform.
  • “Exchange Mode” means the custodial account-based trading mode in which Users deposit supported Digital Assets into their Platform account balances for perpetual futures trading and related services.
  • “WEB3 Mode” or “Web3 Mode” means the non-custodial trading mode in which Users connect compatible blockchain wallets and retain direct control and custody over their Digital Assets while interacting with supported decentralized trading infrastructure.
  • “Perpetual Contract” or “Perp” means a derivative contract tracking the value of an underlying asset without expiry.
  • “Leverage” means the ratio between position size and margin collateral.
  • “Margin” means collateral allocated to support an open leveraged position.
  • “Maintenance Margin” means the minimum required collateral necessary to keep a position open.
  • “Maintenance Margin Ratio” or “MMR” means the minimum margin ratio required to avoid liquidation.
  • “Funding Rate” means the periodic payment mechanism exchanged between long and short positions.
  • “Mark Price” means the reference price used for liquidation, unrealized PnL calculations, and TP/SL execution logic.
  • “Index Price” means the aggregated external reference price of an asset.
  • “Position Size” means the total leveraged value of an open position.
  • “Liquidation” means the automatic closure of a position when margin requirements are no longer satisfied.
  • “Risk Limit” means contract-specific leverage and exposure restrictions.
  • “Smart Contract” means self-executing blockchain code governing certain Platform operations.
  • “Oracle” means any third-party or internally calculated pricing mechanism used for market pricing, mark prices, liquidation calculations, and related trading functions.
  • “Prohibited Jurisdiction” means any restricted jurisdiction described in Article 3.
  • “Prohibited Person” means any restricted individual or entity described in Article 3.

1.4 No Financial Advice

Nothing provided on the Platform constitutes financial, investment, legal, tax, or trading advice. All information, charts, market data, and analytics are provided for informational purposes only.

Seek independent financial advice if you have questions or do not fully understand the risks involved.

1.5 Jurisdiction Restrictions

Availability of services may vary depending on jurisdiction, applicable law, regulatory restrictions, or operational considerations.

ARTICLE 2 — NATURE OF THE PLATFORM & SERVICES

2.1 Platform Architecture

The Platform supports both:

  • Wallet-based self-custodial trading infrastructure (DEX); and
  • account-based trading functionality (CEX).

Users are solely responsible for understanding the custody, operational, and trading differences between available modes before using the Platform.

2.2 Supported Services

Subject to these Terms, THETRUETRADE may provide:

  • Perpetual futures trading;
  • Leveraged trading functionality;
  • Internal balance transfers;
  • Deposit and withdrawal functionality;
  • Order book trading systems;
  • Market and limit orders;
  • Stop-loss and take-profit tools;
  • API access;
  • Referral and bonus systems;
  • Demo trading functionality;
  • Market analytics and chart integrations;
  • Customer support services.

2.3 Supported Markets

The Platform may support perpetual futures markets on various digital assets. Supported contracts, leverage limits, trading pairs, and settlement assets may be modified, suspended, or removed at any time without notice.

All perpetual contracts on the Platform are currently settled under either USDT-M (CEX) or USDC-M (Web3) settlement models, unless otherwise specified.

2.4 Web3 Mode

In Web3 Mode:

  • Users retain direct custody of their assets;
  • THETRUETRADE does not control private keys or seed phrases;
  • Blockchain transactions are irreversible;
  • THETRUETRADE cannot recover lost, stolen, or misdirected assets.

2.5 Exchange Mode

In Exchange Mode:

  • Supported assets are maintained within Platform-managed balances;
  • Trading operations may occur without direct user interaction with on-chain gas payments;
  • Users acknowledge operational, liquidity, and counterparty risks associated with internal balances.

2.6 Platform Modifications

THETRUETRADE reserves the right to modify, suspend, restrict, discontinue, or remove any service, feature, market, asset, or functionality at any time without liability.

ARTICLE 3 — ELIGIBILITY, RESTRICTED JURISDICTIONS & COMPLIANCE

3.1 Age Requirement

You must be at least eighteen (18) years old, or the legal age of majority in your jurisdiction, whichever is higher.

You represent and warrant that:

  • You possess full legal authority to enter into this Agreement;
  • Your use of the Platform does not violate applicable law;
  • You are not subject to sanctions or legal restrictions.

3.3 Prohibited Jurisdictions

The Platform is not available in certain restricted jurisdictions, including the United States, United Arab Emirates, Canada, North Korea, and other restricted jurisdictions, due to regulatory prohibitions.

THETRUETRADE reserves the right to update restricted jurisdictions at any time.

3.4 Prohibited Persons

The Platform may not be used by:

  • Sanctioned individuals or entities;
  • Persons listed on governmental restriction lists;
  • Persons using the Platform in violation of applicable law.

3.5 Circumvention Prohibited

Users may not use VPNs, proxies, Tor networks, or similar technologies to circumvent geographic restrictions or compliance controls.

3.6 KYC & Verification

The Platform may currently permit limited KYC-free access for certain services. However, THETRUETRADE reserves the right to require identity verification, source-of-funds verification, enhanced due diligence, or additional compliance procedures at any time.

Failure to comply may result in restrictions, suspension, or account termination.

ARTICLE 4 — ACCOUNT ACCESS & SECURITY

4.1 Authentication Methods

Users may access the Platform through:

  • Wallet connection;
  • Email registration;
  • Google authentication;
  • Telegram authentication;
  • Other supported login systems.

4.2 User Responsibilities

You are solely responsible for:

  • Protecting private keys, passwords, and credentials;
  • Maintaining account security;
  • Enabling available security features;
  • Monitoring account activity;
  • Ensuring device and network security.

THETRUETRADE does not store wallet seed phrases or private keys.

4.3 Email & Password Authentication

Users with linked email accounts may configure login passwords and security verification features.

Wallet-only accounts may be required to bind an email address before enabling password authentication.

4.4 Two-Factor Authentication

THETRUETRADE may provide:

  • Email verification;
  • Authenticator app verification;
  • Additional security layers.

Users are responsible for securing all authentication methods.

4.5 Unauthorized Access

Users must immediately notify THETRUETRADE regarding suspected unauthorized access, compromised credentials, or security incidents.

4.6 Suspension & Restrictions

THETRUETRADE reserves the right to suspend, restrict, freeze, or terminate access where necessary for:

  • Security;
  • Compliance;
  • Risk management;
  • Market integrity;
  • Regulatory obligations;
  • Platform abuse prevention.

ARTICLE 5 — TRADING RULES, FEES & FINANCIAL TERMS

5.1 Perpetual Trading

The Platform offers leveraged perpetual futures trading.

Perpetual contracts:

  • Have no expiry date;
  • Are settled in USDT (CEX) or USDC (Web3) unless otherwise specified;
  • Are subject to liquidation rules;
  • May use isolated or cross margin.

5.2 High Leverage Risk

Trading with leverage involves substantial risk.

High leverage magnifies both profits and losses. Small market movements may result in partial or total loss of collateral.

5.3 Fees

Trading fees, withdrawal fees, funding rates, and related charges are displayed on the Platform and may be modified at any time.

Applicable fees may include:

  • Maker fees;
  • Taker fees;
  • Funding payments;
  • Withdrawal fees;
  • Network fees;
  • Other operational fees.

5.4 Funding Rate System

The Platform uses a funding rate mechanism between long and short positions.

Funding payments:

  • Are exchanged periodically between market participants;
  • Are calculated based on position size and funding rate;
  • Directly affect position margin balances;
  • May impact liquidation and margin ratio.

5.5 Margin & Liquidation

Positions are subject to maintenance margin requirements.

If margin balance falls below maintenance requirements:

  • Positions may be automatically liquidated;
  • Liquidation may occur without prior notice;
  • Partial or full collateral loss may occur.

Mark Price is used for liquidation calculations and certain risk-management triggers.

5.6 Orders & Execution

Supported order types may include:

  • Market orders;
  • Limit orders;
  • GTC orders;
  • IOC orders;
  • FOK orders;
  • Stop-loss orders;
  • Take-profit orders;
  • Conditional orders.

Order execution depends on:

  • Liquidity;
  • Market volatility;
  • Technical performance;
  • Order book conditions;
  • Network conditions.

Execution prices are not guaranteed.

5.7 Slippage

Orders may execute at prices different from expected or displayed prices due to volatility, liquidity, or market conditions.

5.8 Position Limits & Risk Limits

THETRUETRADE may impose:

  • Leverage limits;
  • Position limits;
  • Order size limits;
  • Risk tiers;
  • Exposure restrictions.

Such limits may vary by market or user.

5.9 Supported Assets & Networks

Users are solely responsible for:

  • Selecting correct blockchain networks;
  • Using correct wallet addresses;
  • Ensuring compatibility of destination wallets.

Blockchain transactions are irreversible.

ARTICLE 6 — RISK DISCLOSURE

6.1 General Risk Acknowledgment

Risk Warning: Before using THETRUETRADE or its services, please review all applicable legal documentation.

Trading digital asset derivatives involves substantial risk.

You may lose all deposited collateral.

6.2 Market Risk

Trading virtual assets, crypto derivatives, or leveraged financial products carries a high level of risk and may not be suitable for all investors. The value of digital assets can fluctuate significantly and may result in total loss of funds.

Past performance does not guarantee future results. Cryptocurrency markets are highly volatile.

Prices may move rapidly and unpredictably.

6.3 Leverage Risk

Leverage amplifies gains and losses.

High leverage can result in rapid liquidation.

6.4 Liquidation Risk

Positions may be liquidated automatically without notice.

Liquidation prices may differ from expected prices during volatile conditions.

6.5 Smart Contract Risk

Blockchain infrastructure and smart contracts may contain bugs, vulnerabilities, exploits, or failures.

6.6 Oracle Risk

Pricing systems and oracles may experience delays, inaccuracies, manipulation attempts, or outages.

6.7 Liquidity Risk

Insufficient market liquidity may impact order execution.

6.8 Technical Risk

Platform interruptions, maintenance, congestion, or outages may occur.

6.9 Internal Balance Risk

Assets maintained in Internal Balance Mode are subject to operational and counterparty risks.

6.10 Cybersecurity Risk

The Platform may be targeted by:

  • Phishing;
  • Malware;
  • DDoS attacks;
  • Social engineering;
  • Exploits;
  • Unauthorized access attempts.

6.11 Regulatory Risk

Changes in laws or regulations may impact Platform availability or functionality.

6.12 No Insurance

Assets on the Platform are not insured by any governmental deposit protection scheme.

ARTICLE 7 — INTELLECTUAL PROPERTY

7.1 Ownership

All Platform content, software, branding, systems, interfaces, documentation, and intellectual property are owned by or licensed to THETRUETRADE.

7.2 Limited License

Users are granted a limited, revocable, non-transferable license to access and use the Platform for permitted purposes.

7.3 Restrictions

Users may not:

  • Reverse engineer the Platform;
  • Copy proprietary materials;
  • Scrape or automate unauthorized access;
  • Use Platform branding without authorization.

7.4 User Feedback

Any feedback, suggestions, or ideas submitted to THETRUETRADE may be used without restriction or compensation.

ARTICLE 8 — PRIVACY & DATA PROTECTION

8.1 Privacy Overview

The True Trade (“TTT”) collects, processes, stores, and protects certain Personal Data in connection with the use of the Platform, including custodial account-based trading services (CEX mode), non-custodial wallet-based trading services (DEX/Web3 mode), perpetual futures trading infrastructure, APIs, customer support systems, and related services.

By accessing or using the Platform, Users acknowledge and agree to the collection and processing of Personal Data in accordance with the TTT Privacy Policy.

8.2 Categories of Data Collected

Depending on how the Platform is used, TTT may collect and process:

  • Wallet addresses and blockchain transaction data;
  • Trading activity, positions, balances, orders, deposits, withdrawals, and transfers;
  • Email addresses and authentication information;
  • Google, Telegram, or other supported login credentials;
  • Device information, browser data, IP addresses, and technical identifiers;
  • API usage and request logs;
  • Referral, rewards, and bonus activity;
  • Customer support communications and dispute-resolution records;
  • Analytics, cookies, and platform interaction data;
  • Identity verification and compliance information where KYC procedures are applied.

TTT does not collect wallet private keys or seed phrases.

8.3 Use of Personal Data

Collected data may be used for:

  • Platform operations and service delivery;
  • Account authentication and security;
  • Trade execution and perpetual market functionality;
  • Fraud prevention, sanctions screening, and AML/CFT compliance;
  • Customer support and dispute handling;
  • Platform analytics, infrastructure optimization, and product improvement;
  • Enforcement of Platform Terms, policies, and legal obligations.

8.4 Blockchain & Public Data

Blockchain transactions are public and irreversible by design. Wallet addresses, transaction hashes, timestamps, and related blockchain activity may remain permanently visible on supported blockchain networks. TTT cannot alter or delete public blockchain records.

8.5 Data Sharing & Third-Party Providers

TTT may share limited Personal Data with infrastructure providers, compliance providers, analytics systems, authentication services, customer support systems, blockchain analytics providers, and governmental or regulatory authorities where legally required.

Where identity verification (“KYC”) is implemented, TTT may use authorized third-party identity verification and compliance providers to process identification documents, verification checks, sanctions screening, and fraud-prevention procedures.

8.6 Data Security

TTT implements commercially reasonable technical and organizational safeguards designed to protect Personal Data, including encryption, access controls, monitoring systems, authentication protections, and internal security procedures. However, no internet-based or blockchain-based system can guarantee absolute security.

Users remain responsible for protecting their wallets, devices, passwords, private credentials, and authentication methods.

By using the Platform, Users acknowledge and agree to the applicable Privacy Policy and related data protection practices.

ARTICLE 9 — REFERRAL PROGRAM & PROMOTIONS

9.1 Referral Program

THETRUETRADE may provide referral commission programs.

Commission rates and eligibility requirements may change at any time.

9.2 Referral Restrictions

Users may not:

  • Self-refer;
  • Abuse referral systems;
  • Manipulate trading activity;
  • Use misleading promotional practices.

9.3 Bonuses & Promotions

Campaigns, bonuses, trading rewards, and promotional incentives:

  • Are subject to separate rules;
  • May require trading conditions;
  • May be modified or revoked;
  • Are not guaranteed.

9.4 Abuse Prevention

THETRUETRADE reserves the right to revoke rewards associated with:

  • Wash trading;
  • Market manipulation;
  • Multi-account abuse;
  • Fraudulent activity.

ARTICLE 10 — PROHIBITED USES

Users may not:

  • Violate applicable law;
  • Manipulate markets;
  • Engage in wash trading or spoofing;
  • Abuse Platform infrastructure;
  • Attempt unauthorized access;
  • Exploit vulnerabilities;
  • Facilitate illegal activity;
  • Circumvent compliance controls;
  • Disrupt Platform operations.

THETRUETRADE may suspend, restrict, freeze, or terminate accounts involved in prohibited conduct.

ARTICLE 11 — DISCLAIMERS & LIMITATION OF LIABILITY

11.1 Platform Disclaimer

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND.

THETRUETRADE DOES NOT GUARANTEE:

  • Continuous availability;
  • Error-free operation;
  • Profitability;
  • Execution quality;
  • Market outcomes.

11.2 No Guarantee of Returns

THETRUETRADE makes no guarantees regarding profits, performance, or trading outcomes.

11.3 Third-Party Infrastructure

The Platform may rely on third-party services, infrastructure providers, blockchain networks, or pricing systems.

THETRUETRADE is not liable for failures or interruptions caused by third parties.

11.4 Limitation of Liability

To the fullest extent permitted by law, THETRUETRADE shall not be liable for:

  • Trading losses;
  • Lost profits;
  • Liquidation losses;
  • Data loss;
  • Service interruptions;
  • Indirect or consequential damages.

11.5 Force Majeure

THETRUETRADE is not liable for events beyond reasonable control, including:

  • Network failures;
  • Government actions;
  • Cyberattacks;
  • Blockchain congestion;
  • Regulatory changes;
  • Natural disasters.

11.6 Indemnification

Users agree to indemnify and hold harmless THETRUETRADE from claims arising from:

  • Violations of these Terms;
  • Illegal activity;
  • Trading conduct;
  • Regulatory breaches.

ARTICLE 12 — GOVERNING LAW & DISPUTE RESOLUTION

12.1 Governing Law

These Terms shall be governed by the laws of the jurisdiction selected by THETRUETRADE and finalized by legal counsel.

12.2 Informal Resolution

Users agree to first attempt informal dispute resolution through THETRUETRADE support channels.

12.3 Arbitration

Disputes may be resolved through binding arbitration pursuant to applicable arbitration rules.

12.4 Class Action Waiver

Users waive participation in class or collective actions to the fullest extent permitted by law.

ARTICLE 13 — AML, SANCTIONS & COMPLIANCE

13.1 Compliance Obligations

Users represent that:

  • Funds are lawful;
  • Platform usage complies with AML/CFT laws;
  • They are not sanctioned persons.

13.2 Monitoring & Screening

THETRUETRADE may perform:

  • Transaction monitoring;
  • Wallet screening;
  • Blockchain analytics;
  • Risk assessments.

13.3 Enforcement Actions

THETRUETRADE may:

  • Restrict accounts;
  • Freeze balances;
  • Request KYC information;
  • Cooperate with authorities.

ARTICLE 14 — AMENDMENTS & NOTIFICATIONS

14.1 Right to Amend

THETRUETRADE may modify these Terms at any time.

14.2 Notifications

Material updates may be communicated through:

  • Platform notices;
  • Email;
  • Website updates;
  • Official communication channels.

Continued use constitutes acceptance of updated Terms.

ARTICLE 15 — GENERAL PROVISIONS

15.1 Entire Agreement

These Terms, together with incorporated policies, constitute the complete agreement between Users and THETRUETRADE.

15.2 Severability

If any provision is unenforceable, remaining provisions remain effective.

15.3 Waiver

Failure to enforce any provision does not constitute waiver.

15.4 Assignment

THETRUETRADE may assign rights and obligations under these Terms.

15.5 Language

English is the controlling language of these Terms.

15.6 Corporate Information

THE REAL TRUE TRADE INC. is a corporation incorporated in the Republic of Panama under Public Deed No. 6,369, executed before the Fourth Notary Public of the Circuit of Panama on September 25, 2025, and registered at the Panama Public Registry under Mercantile Page No. 155773787.

15.7 Corporate Structure & Affiliates

Certain international services are provided by an affiliated entity incorporated in the Republic of Seychelles under the International Business Companies Act 2016, with its registered office located at IMAD Complex, Ile Du Port, Seychelles.
